4. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to create an account and use the Service. If you are using the Service on behalf of a business or entity, you represent that you have authority to bind that entity to these Terms.

5. Account Registration and Security

You must provide accurate, current, and complete information during registration and keep your account information up to date.
You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activity that occurs under your account.
You must notify us immediately of any unauthorised use of your account or any other breach of security.
We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.
You may not create multiple accounts, share your account credentials with others, or transfer your account to another person without our prior written consent.
We are not liable for any loss or damage arising from your failure to maintain the security of your account.

6. Subscription Tiers, Billing, and Payments

The Service offers subscription tiers with varying feature limits and capabilities. Details of each tier, including pricing and feature limits, are displayed within the Service and on our website.
Subscription fees are billed in advance on a recurring basis according to the billing cycle associated with your selected tier.
All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.
We reserve the right to change our pricing, fees, and feature limits at any time. We will provide reasonable notice of any pricing changes. Your continued use of the Service after a price change takes effect constitutes your agreement to pay the updated amount.
If we are unable to process your payment, we may suspend or downgrade your account until payment is received.
You are responsible for any taxes applicable to your subscription.
You may cancel your subscription at any time via the billing management portal accessible from your account Settings page. Cancellation takes effect at the end of the current billing period; you retain full access until then.
Prorated refunds: if you cancel within 7 days of a billing charge, you may request a prorated refund for the unused portion of that billing period by contacting support. Refunds are not automatic and must be requested.

7. Free Trials and Promotional Offers

We may offer free trials or promotional pricing from time to time. The terms and duration of any such offer will be specified at the time of the offer.
Unless you cancel before the end of a free trial period, your account may automatically convert to a paid subscription at the then-current rate.
We reserve the right to limit or modify free trial offers at any time and to determine eligibility for such offers.

8. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable local, national, or international laws or regulations.
Attempt to gain unauthorised access to any part of the Service, other users’ accounts, or any computer systems or networks connected to the Service.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including without limitation suspending or terminating your account and reporting such conduct to law enforcement authorities.

9. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, software, code, algorithms, data compilations, and the overall design and arrangement thereof — are owned by StrikeZoneInvesting or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial investment research purposes, subject to these Terms.
You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any content therein, except as expressly permitted by these Terms.
Any feedback, suggestions, ideas, or other information you provide to us about the Service (“Feedback”) shall be our exclusive property. You hereby assign to us all rights in any Feedback and agree that we may use it without restriction or compensation to you.

10. User Content and Data

You retain ownership of the data and content you create within the Service, including your screening criteria, watchlist configurations, notes, and research parameters (“User Content”).
By using the Service, you grant us a limited, non-exclusive licence to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.
You are solely responsible for the User Content you create and any consequences of its use.
We do not endorse or guarantee the accuracy of any User Content and are not responsible for any investment decisions made based on it.
We may remove or disable access to any User Content that we believe violates these Terms or applicable law, without prior notice.

11. Third-Party Services and Data

The Service integrates with and relies upon third-party services for market data, AI-powered analysis, email delivery, and other functionality.
We are not responsible for the accuracy, reliability, availability, or performance of any third-party services or the data they provide.
Your use of the Service may be subject to the terms and conditions of these third-party service providers.
We are not responsible for any loss or damage arising from the acts, omissions, or failures of third-party service providers.
The Service may contain links to third-party websites or resources. We are not responsible for the content, products, or services available from such third-party resources and do not endorse them.

12. Data Accuracy and Reliability

Stock data, financial metrics, AI-generated analysis, and all other information provided through the Service may contain errors, be delayed, or be incomplete. We do not guarantee the accuracy, completeness, reliability, or timeliness of any information provided.
The Service relies on third-party data sources and AI systems that may experience downtime, errors, or inaccuracies. We are not responsible for any loss or damage resulting from such issues.
You acknowledge that AI-generated content may produce results that are inconsistent, contradictory, or factually incorrect, and you agree to verify any information before relying on it for investment decisions.
Historical data and backtesting results do not guarantee future performance.

13. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data. By using the Service, you consent to the data practices described in the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Warranties that the Service will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components.
Warranties regarding the accuracy, reliability, or completeness of any content, data, or information provided through the Service.
Warranties regarding the results that may be obtained from the use of the Service.
Warranties that the Service will meet your requirements or expectations.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRIKEZONEINVESTING, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:

Any indirect, incidental, special, consequential, exemplary, or punitive damages.
Any loss of profits, revenues, data, goodwill, or other intangible losses.
Any damages arising from your use of or inability to use the Service.
Any damages arising from investment decisions made based on information provided by the Service.
Any damages arising from unauthorised access to, alteration of, or loss of your data or transmissions.
Any damages arising from statements or conduct of any third party on or through the Service.
Any damages arising from interruption, suspension, or termination of the Service.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS GREATER.

These limitations apply regardless of the legal theory on which the claim is based, including breach of contract, tort (including negligence), strict liability, or any other theory, and regardless of whether we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by applicable law.

16. Indemnification

You agree to indemnify, defend, and hold harmless StrikeZoneInvesting, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Your use of the Service.
Your violation of these Terms.
Your violation of any applicable law or regulation.
Your violation of any rights of a third party.
Any investment decisions you make based on information from the Service.
Any User Content you create, submit, or transmit through the Service.

17. Termination

By you: You may cancel your subscription and close your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
By us: We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to: violation of these Terms, suspected fraudulent or abusive activity, non-payment, or if we discontinue the Service.
Effect of termination: Upon termination, your right to use the Service ceases immediately. We may delete your account data in accordance with our Privacy Policy and data retention practices. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property provisions, disclaimers, limitations of liability, and indemnification.
No refunds: Except as required by applicable law, subscription fees are non-refundable upon termination, regardless of whether termination is initiated by you or by us.

18. Dispute Resolution

Informal resolution: Before filing any formal legal proceedings, you agree to first contact us and attempt to resolve any dispute informally for at least thirty (30) days.
Governing law: These Terms are governed by and construed in accordance with the laws of the jurisdiction in which StrikeZoneInvesting is established, without regard to conflict of law principles.
Jurisdiction: Any legal proceedings arising out of or related to these Terms or the Service shall be brought exclusively in the courts of the jurisdiction in which StrikeZoneInvesting is established, and you consent to the personal jurisdiction of such courts.
Class action waiver: To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the version number and effective date at the top of this document.
For material changes, we will notify you via the Service and require re-acceptance before you can continue using protected features.
Your continued use of the Service after any changes to these Terms constitutes acceptance of the updated Terms.
If you do not agree to the modified Terms, you must stop using the Service and cancel your account.

20. General Provisions

Entire agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and StrikeZoneInvesting regarding the Service and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any provision shall be effective only if made in writing and signed by us.
Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
Force majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: natural disasters, acts of government, war, terrorism, pandemics, power failures, internet or telecommunications failures, or failures of third-party service providers.
Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
No third-party beneficiaries: These Terms do not create any third-party beneficiary rights.
Electronic communications: By using the Service, you consent to receiving communications from us electronically. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

21. Beta Addendum — Founding Member Program

The following additional terms apply to users who registered via an invite as part of the Founding Member beta program. In the event of any conflict between this section and the remainder of these Terms, this section governs.

21.1 No uptime SLA. The Service is provided “as available” during the beta period. No uptime, availability, or performance guarantee applies. We will make reasonable efforts to maintain the Service but make no warranty regarding continuity.

21.2 Right to change or remove features. We may add, modify, or remove any feature, tool, or content at any time without prior notice.

21.3 Right to terminate the beta. We may terminate the beta program or any individual beta access at any time. In the event of termination by us, your sole remedy is a prorated refund for any unused subscription period.

21.4 Data loss waiver. Beta environments may be subject to resets, migrations, or data loss events beyond those expected in a production environment. You are responsible for exporting or backing up any data you wish to preserve. We are not liable for any loss of data during the beta period.

21.5 Founding Member pricing. You have been granted a 30% discount on your chosen subscription plan (“Founding Member pricing”). This discount is locked for 12 months from the date of your first paid subscription. At the end of 12 months, your subscription will automatically transition to standard pricing. Founding Member pricing is not renewable and does not extend beyond the initial 12-month lock period.

21.6 No commitment to features or pricing at GA. The features, pricing, and terms available during the beta period are subject to change at general availability and are not guaranteed to be offered in the same form at full launch.

21.7 Feedback license. We may invite you to submit feedback about the Service. By submitting feedback, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate that feedback into the Service or any other product without attribution, compensation, or further notice.

21.8 UK and EU users. If you are located in the United Kingdom or the European Economic Area, your use of the Service is subject to the disclaimers in Section 3. The Service is not authorised by the FCA or any equivalent European authority. This Service does not constitute a personal recommendation under FSMA 2000 or MiFID II. You are solely responsible for ensuring that your use of the Service complies with applicable laws in your jurisdiction.
